Carso Telecom B.V.: Planned takeover offer to the shareholders of Telekom Austria AG

The company Carso Telecom B.V. submitted a voluntary public takeover offer to the shareholders of Telekom Austria AG, which was converted into a mandatory offer upon entry of several conditions precedent. The offer can be accepted until and including 10 July 2014. According to the offer, shareholders of Telekom Austria AG shall receive EUR 7.15 in cash for each ordinary share they hold. This circular describes the potential effects this transaction will have on the existing Eurex options (TK1) and the Eurex Single Stock Futures contract (TA1F) on shares of Telekom Austria AG.
