Conergy AG: Reverse Stock Split, Capital Increase and ISIN Change

On February 25, 2011, the annual general meeting of Conergy AG agreed to the planned refinancing of the company. This includes the reduction of the equity capital/reverse stock split at a ratio of 8:1 and at the same time a capital increase with subscription rights for the shareholders of Conergy AG at a ratio of 3.77:8.
Subscription price for each new share will be EUR 1.05. Subscription period will be from June 29, 2011 up and including July 12, 2011.

After approval by the Hanseatic Higher Regional Court Hamburg of the decisions taken by the extraordinary general meeting in February 2011, Conergy AG announced the realisation of the planned capital decrease as well as the following capital increase against cash deposit on June 27 and June 28, 2011, respectively.

As a consequence, an adjustment to the Eurex options and the Eurex futures contract on shares of Conergy AG (CGY/CGYG) will become necessary.

Ex date for both transactions will be June 29, 2011.

This circular contains a description of the adjustment procedure.
