Deutsche Börse AG: termination of exchange offer following the prohibition of merger with NYSE Euronext

According to the publication of Alpha Beta Netherlands Holding N.V. of February 2, 2012 about the non-occurrence of an execution condition and the non-enforcement of the exchange offer, the exchange offer to the shareholders of Deutsche Börse AG has been terminated. The agreements resulting from the accepted exchange offer will not be executed and do no longer exist. Tendered Deutsche Börse shares listed with ISIN DE000A1KRND6 will be re-booked into the original ISIN DE0005810055 of the Deutsche Börse shares that were not tendered. The custodian banks of those shareholders of Deutsche Börse who have accepted the exchange offer have been instructed to re-book the tendered Deutsche Börse shares after close of trading on February 7, 2012. At the same time, trading in the tendered Deutsche Börse shares (ISIN: DE000A1KRND6) will be terminated.

Accordingly, effective February 8, 2012, the underlying ISIN of the Eurex equity option (DB1) and the stock futures contract (DB1G) as well as the product ISIN of the Eurex equity option on shares of Deutsche Börse AG will change.
