Fiat S.p.A.: Merger with Fiat Investments N.V.

On 1 August 2014, the shareholders of Fiat S.p.A. decided on the cross-border merger with and into Fiat Investment N.V. which will be renamed to Fiat Chrysler Automobiles N.V. (FCA).

On 7 October 2014, Fiat S.p.A. announced per press release that all prerequisites for the merger have been fulfilled. The implementation is expected to take place on 12 October 2014.

According to the press release, 10 October 2014 is expected to be the last trading day of the old Fiat S.p.A. share. As a consequence of the merger, shareholders of Fiat S.p.A. will receive one new Fiat Chrysler Automobile N.V. share for each Fiat S.p.A. share they hold. Admission of the Fiat Chrysler Automobiles N.V. share at Borsa Italiana is planned to take place on 13 October 2014 under ISIN NL0010877643.

Upon successful completion of the transaction, an adjustment of the options and futures contracts on shares of Fiat S.p.A. will become necessary.

Effective 13 October 2014, the underlying instrument will change from Fiat S.p.A. to Fiat Chrysler Automobiles.
