ARM Holding Takeover

The company Softbank Group Corp. announced its proposal to acquire ARM Holdings PLC via a takeover offer to the shareholders of ARM Holdings PLC at a price of GBP 17.00 per share.

This information describes the potential effects this transaction will have on the above mentioned contracts.

On 30 August 2016 ARM Holdings PLC provided further information regarding the takeover by Softbank Group Corp. According to this information, the transaction is expected to be completed on 5 September 2106. Shares on ARM Holdings PLC will be suspended after close of trading on 02 September 2016. This will also be the last trading day of the Futures-contract on ARM Holdings PLC shares. Effective 05 September 2016 trading will be discontinued.

The final settlement prices of the Futures contracts on 2 September 2016 will be the basis for the last variation margin. They will be calculated based on the offer price of GBp 1700.00 plus a dividend of GBp 3.78 to which ARM Holdings PLC shareholders are entitled. The final settlement prices will be published after close of trading on 2 September 2016. In the end-of-day batch processing of 05 September 2016, the positions will be booked out effective 06 September 2016.
