The companies Edizione SpA and Dufry AG entered into a business combination agreement whereby Edizione`s entire stake of 50.3% in the company Autogrill SpA was transferred to Dufry AG. The closing of the agreement was followed by a mandatory public takeover offer to the shareholders of Autogrill SpA at a ratio of 0.1583 Dufry shares for each Autogrill share. The Offer Period started on 14 April 2023 and ends on 15 May 2023, save for extensions of the tender period. Settlement of the offer with delivery of the Dufry AG shares shall be on 23 May 2023, save for extensions of the tender period.
