Kontron AG Takeover

The company Kontron AG announced in a press release on 26. April 2017, that S&T AG will issue a takeover offer to the shareholders of Kontron AG, whereby Kontron AG shareholders will receive S&T AG shares plus a Cash component. S & T AG will publish the exact exchange ratio in the next days.

On 20 June 2017 the shareholders of Kontron AG approved the merger with S&T Deutschland Holding AG. In the course of the merger S&T AG will offer Kontron AG shareholders the exchange of Kontron AG shares into S&T AG shares.

According to an ad-hoc information from 30 May 2017 the exchange rate was set as follows. In exchange for 39 Kontron AG-shares the Kontron AG shareholders will receive 10 S&T AG-shares plus 15 Cent per every S&T AG-share granted. On 21 August, S&T AG has announced the successful completion of the merger of Kontron AG into S&T Deutschland Holding AG. Trading in Kontron AG – shares was discontinued on 17 August 2017. In the next step the integration into S&T AG will be done via granting of new S&T AG – shares to Kontron AG shareholders. The new S&T shares will be offered to Kontron AG shares during the subscription period, which will end on 23 September 2017. In exchange for 39 S&T Holding shares (corresponds to 39 Kontron AG – shares before Merger registration) the Kontron AG shareholders will receive 10 S&T AG-shares plus 15 Cent per every S&T AG-share granted.

On 27 September 2017 S&T AG announced the successful completion of the subscription offer. Admission of the new share is expected to take place on 18 October 2017.

On 13 October 2017 S&T AG reported the listing of the new S&T AG shares on the Frankfurt Stock Exchange. According to an announcement of the Frankfurt Stock Exchange, the new shares have been included into the existing listing as of 16 October 2017. The adjustment of the option contract on Kontron-shares according to the procedure described in corporate action info 003 and 004 will therefore already come into effect as of 17 October 2017. The Future contract (KBCF) will not be adjusted, as no open positions exists. Trading in this contract was already discontinued as described in corporate action notice 004.
