The companies E.ON SE and RWE AG announced in a combined press release, that E.ON SE intends to acquire Innogy SE via a takeover offer at a price of EUR 40.00 per share. This price includes an expected combined dividend of EUR 3,24 for the business years 2017 and 2018.

Today, E.ON Verwaltungs SE announced that all conditions for the voluntary public takeover offer to the Innogy SE shareholders have been fulfilled. Accordingly, as described in Corporate Action Info 001-002 and pursuant to the Contract Specifications for Futures Contracts and Options Contracts at Eurex Deutschland and Eurex Zürich, number 2.6.10.1 (7) existing positions in the series for the Eurex option contract on shares of Innogy SE will be settled at theoretical fair value. Basis for the calculation is the final offer price of EUR 37.00.
Settlement of the options contract will take place effective 20 September 2019 based on the settlement prices of 18 September 2019.
On 19 September 2019, all participants with open positions will receive an information containing an overview of their respective open positions. Booking of the cash amount will take place on 19 September 2019 with value date 20 September 2019. In the end-of-day batch processing of 23 September 2019, the positions will be booked out effective 24 September 2019.
On 19 September 2019 E.ON Verwaltungs SE announced an increase of the final offer price from EUR 37.00 to EUR 37.59. Accordingly, as described in Corporate Action Info 001-003 and pursuant to the Contract Specifications for Futures Contracts and Options Contracts at Eurex Deutschland and Eurex Zürich, number 2.6.10.1 (7) existing positions in the series for the Eurex option contract on shares of Innogy SE will be settled at the updated theoretical fair value. Basis for the calculation is the updated final offer price of EUR 37.59.
The booking of difference to the already booked Settlement of the options contract will take place effective 25 September 2019.
On 24 September 2019, all participants with open positions will receive an updated information containing an overview of their respective open positions. Booking of the cash amount will take place on 24 September 2019 with value date 25 September 2019.
