Italcementi SPA Takeover

The company Italcementi SPA announced on 27 July 2016 that HeidelbergCement AG announced its decision to launch a public takeover offer to the shareholders of Italcementi SPA at a price of EUR 10.60 per share. The acceptance period is scheduled from 29th of August 2016 till 30th of September 2016.

The company HeidelbergCement AG announced on 02 October 2016 the fulfilment of all closing conditions and the settlement of the public takeover offer of Italcementi. Accordingly, as described in corporate action info 001 and pursuant to the Contract Specifications for Futures Contracts and Options Contracts at Eurex Deutschland and Eurex Zürich, number 1.6.7 (7) and 2.6.10.1 (7) existing positions in the series for the Eurex option contract on shares of Italcementi will be settled at theoretical fair value based on the offer price of EUR 10.60

Settlement of the options contract will take place effective 05 October 2016 based on the settlement prices of 4 October 2016. On 4 October 2016, all participants with open positions will receive a FAX containing an overview of their respective open positions. Booking of the cash amount will take place on 4 October 2016 with value date 5 October 2016. In the end-ofday batch processing of 05 October 2016, the positions will be booked out effective 6 October 2016. For a list of theoretical fair values (final settlement prices) for the respective series of the Eurex option contract on shares of Italcementi, please refer to the attachment.
